Dusit D2 Complex set for auction as billion-shilling debt battle ends

The Dusit D2 complex at 14 Riverside Drive, Nairobi, will be auctioned on April 11, 2025, bringing an end to a decade-long legal dispute between Synergy Industrial Credit and Cape Holdings.

This prime property, which includes office blocks, a hotel, a food court, and conference facilities, has been at the center of a legal battle that began when Synergy paid Ksh 750 million for two blocks in 2009 but was denied ownership.

This led to years of arbitration and court cases as Synergy fought for its rights. I&M Bank, which loaned Cape Holdings Ksh 2.82 billion, also tried to stop the sale but failed.

Over the years, the debt owed to the bank has ballooned to over Ksh 9 billion due to interest and penalties. Despite various legal maneuvers to delay the inevitable, the High Court ruled that Cape Holdings had misused insolvency proceedings to avoid paying its debt.

The court dismissed all attempts to block the auction, paving the way for the sale of the five-acre property.

The upcoming auction is expected to attract interest due to the strategic location and commercial value of the Dusit D2 complex.

Bidders will be required to deposit 25% of the accepted bid price to participate in the sale. Given the scale of the property and the legal history surrounding it, the auction will likely be closely watched by investors and legal experts alike.

The sale marks a turning point in Nairobi’s commercial property sector, highlighting the risks of disputes in real estate transactions. It also serves as a warning to developers and financiers about the importance of clear agreements and legal obligations.

While Synergy fought for over a decade to claim what it had paid for, I&M Bank struggled to recover its loan as Cape Holdings repeatedly sought legal loopholes to delay the process. Ultimately, the courts upheld justice, ensuring that debts were settled and rightful ownership was enforced.

For potential buyers, the auction presents a rare opportunity to acquire a high-value property in one of Nairobi’s most sought-after locations. However, they must be prepared to meet the stringent payment requirements and navigate any remaining legal complexities.
